Director Legal Counsel, Corporate Treasury

Schwab's Legal Services organization is seeking a Director Legal Counsel, Corporate Treasury to provide strategic legal guidance supporting critical treasury activities that help strengthen the firm's liquidity, funding, capital, and risk management capabilities. Reporting to the Managing Director, Treasury Counsel, this role partners closely with Corporate Treasury leaders and cross-functional stakeholders to address complex legal, regulatory, and business challenges impacting treasury operations.

Success in this role requires applying deep expertise in treasury-related transactions, securities financing arrangements, derivatives, and funding structures while balancing business objectives, risk considerations, and regulatory requirements. You will influence key decisions, negotiate sophisticated financial agreements, provide practical legal counsel, and help drive effective outcomes in a dynamic and evolving regulatory environment. This role offers the opportunity to collaborate across the enterprise, solve complex problems, and contribute to initiatives that support Schwab's continued growth and financial strength.

Responsibilities will include:

• Supporting the Treasury Department in matters relating to SFTs and expansion of the funding management platform, liquidity management, capital optimization and netting, derivatives hedging, and treasury clearing.
• Drafting, reviewing, and negotiating various legal agreements between Schwab and other institutional counterparties such as master securities loan agreements (MSLA and GMSLA) for the lending of securities, master repurchase agreements (MRA and GMRA) for the sale and purchase of securities, master securities forward transaction agreements for the sale and purchase of mortgage-backed securities, FCM agreements and ISDA master agreements and related agreements for derivatives hedging.
• Maintaining and updating standard forms and templates of master agreements (including schedules, annexes, and term confirmations).
• Reviewing other agreements for the Treasury department, such as credit agreements and margin loan facilities, bank account documents, custody and clearing agreements, and intercompany lending agreements.
• Reviewing Treasury group policies and procedures.
• Advising on margin regulation and related broker dealer regulations.
• Advising on legal and regulatory matters affecting the Treasury Department and keeping management and other personnel up to date on pertinent legal and regulatory developments.
• Taking on other projects depending on bandwidth and experience.

Required Qualifications

• Juris Doctor (JD) from an accredited U.S. law school.
• Admission to and good standing with the state bar of at least one U.S. state.
• 10+ years of experience supporting treasury, banking, broker-dealer, or financial services organizations through negotiation of securities lending, repurchase, forward transaction, and derivatives-related agreements.
• Knowledge of applicable securities, banking, and financial services laws and regulations.
• Experience reviewing, negotiating, and advising on complex financial transactions and legal documentation.
• Strong communication, collaboration, and relationship-building skills.
• Demonstrated ability to exercise sound judgment, manage competing priorities, and deliver practical legal solutions in a fast-paced environment.

Preferred Qualifications

• Experience advising Corporate Treasury organizations within a large financial institution.
• Experience supporting liquidity management, funding programs, capital optimization, securities financing transactions, or derivatives activities.
• Ability to navigate evolving regulatory requirements and translate them into actionable business guidance.
• Experience working across legal, risk, compliance, finance, and treasury functions.
