Director, SOX & Internal Controls

Position Summary

The Director, SOX & Internal Controls will lead the development and ongoing maturation of Unusual Machines' SOX compliance and internal control over financial reporting (ICFR) program. Reporting to the Corporate Controller, this role will partner across Finance, Operations, IT, HR, Supply Chain, and other functions to establish a scalable, risk-based control environment supporting the Company's growth as a public manufacturing company.

This is a hands-on leadership role for an experienced professional who can build structures in a rapidly evolving environment. The Director will lead SOX readiness, risk assessment, control design and documentation, testing, deficiency evaluation and remediation, while coordinating closely with external auditors and advisors.

What You'll Do

• Lead the Company's SOX and ICFR program, including scoping, risk assessment, control design, documentation, testing, remediation, and ongoing monitoring.


• Develop and maintain process narratives, flowcharts, Risk and Control Matrices (RCMs), testing procedures, and supporting documentation across key financial and operational processes.


• Partner with control owners across Finance, Operations, Supply Chain, HR, and IT to establish clear ownership, evidence standards, review expectations, and accountability.


• Evaluate control design and operating effectiveness, identify deficiencies and root causes, and drive timely, sustainable remediation.


• Partner with IT, on IT General Controls (ITGCs), user access, change management, segregation of duties (SOD), system interfaces, and key reports.


• Coordinate SOX activities with external auditors and advisors, including walkthroughs, testing, PBC requests, remediation, and reliance strategies.


• Establish scalable SOX policies, procedures, testing methodologies, evidence standards, and deficiency-evaluation protocols.


• Support the Corporate Controller and CFO with control-deficiency assessments and reporting to executive management and the Audit Committee.


• Embed effective controls into NetSuite and business processes, strengthening control at the source and reducing unnecessary manual controls.


• Provide internal-control guidance for new systems, business processes, and acquisitions, including post-acquisition control integration.


• Train control owners and identify opportunities to simplify, standardize, automate, and strengthen the control environment.

Key Areas of Responsibility

The Director will provide internal-control leadership across significant financial and operational processes, including:

• Financial close and reporting


• Revenue and accounts receivable


• Inventory, manufacturing, and COGS


• Procurement and accounts payable


• Treasury and cash


• Payroll and equity compensation


• Fixed assets and leases


• Entity-level controls


• Information technology, ITGCs, and segregation of duties


• Acquisitions and integration


• Key financial systems, interfaces, and reports

The role will work closely with the Corporate Controller and process owners to ensure controls appropriately address financial reporting risks while remaining practical for the size, complexity, and growth stage of the organization.

What You Bring

• Bachelor's degree in Accounting, Finance, Business, Information Systems, or related field.


• 10+ years of progressive experience in SOX, internal controls, internal/external audit, accounting advisory, or related disciplines, including leadership responsibility.


• Significant hands-on experience with SOX 404, ICFR, risk assessment, control design, walkthroughs, testing, deficiency evaluation, and remediation.


• Strong understanding of U.S. GAAP, financial reporting processes, and financial-statement risks.


• Experience developing RCMs, process narratives, testing documentation, and control evidence.


• Strong knowledge of ITGCs, user access, change management, SOD, system interfaces, and key reports.


• Experience working directly with external auditors and coordinating controls across multiple business functions.


• Strong analytical, project-management, and problem-solving skills with demonstrated ability to identify root causes and drive remediation.


• Excellent communication and interpersonal skills with the ability to translate technical requirements into practical business solutions.


• Comfortable operating in a fast-growing environment where systems, processes, and controls continue to evolve.

Preferred Qualifications

• CPA, CIA, CISA, or equivalent certification strongly preferred.


• Big Four or national public accounting/advisory experience.


• Public-company SOX and SEC reporting experience.


• Manufacturing, aerospace, defense, electronics, hardware, or other inventory-intensive industry experience.


• Experience building or materially transforming a SOX/internal-controls program.


• NetSuite or comparable ERP controls experience.


• Experience supporting acquisitions, system implementations, and integration.


• Experience communicating control matters to senior leadership and Audit Committees.

Compensation - $145,000 - $180,000, commensurate with experience and qualifications, plus equity participation and benefits in accordance with the Company's compensation programs
