We are seeking a skilled and driven Lateral Associate to join a premier Finance Team in Houston, TX. This position offers a unique opportunity to work on transformative finance transactions in the energy and private equity sectors, alongside a team of world-class legal professionals.

Finance Expertise and Practice

This opportunity is with a prestigious firm globally recognized for its expertise in finance, energy transactions, and private equity acquisition finance. The team's key focus areas include:

• Debt Finance Transactions: Structuring and negotiating credit facilities, term loans, and asset-backed financing agreements.
• Energy Sector Expertise: Advising on oil-and-gas-related financing, midstream and upstream transactions, and energy infrastructure financing.
• Private Equity Acquisition Finance: Representing borrowers, lenders, and private equity sponsors in acquisition financing and leveraged buyouts.
• Cross-Border Transactions: Navigating complex global finance deals while ensuring compliance with jurisdictional requirements.

In this position, you will:

• Represent clients in complex finance transactions, including oil-and-gas-related financing and acquisition finance for private equity sponsors.
• Draft and negotiate loan agreements, intercreditor agreements, and related finance documents.
• Advise clients on risk management, financial structuring, and regulatory compliance.
• Collaborate with a multidisciplinary team to address intricate legal challenges and meet client objectives.
• Build and maintain strong relationships with borrowers, lenders, and private equity sponsors.

Ideal Candidate Profile

We are looking for candidates who demonstrate the following qualifications and attributes:

Experience and Expertise

• Experience: Law school graduate from 2017 to 2020 with robust experience in debt finance.
• Practice Areas: Expertise in private equity acquisition finance and oil-and-gas-related transactions is highly preferred.

Educational Credentials

• Juris Doctor (JD): Degree from a top-tier, accredited law school with exceptional academic credentials.

• Legal Acumen: Strong skills in transactional drafting, financial structuring, and risk management.
• Strategic Thinking: Ability to craft innovative legal solutions for complex financing transactions.

• Bar Admission: Admission to the Texas Bar or eligibility to waive into Texas.
