We are seeking a highly skilled Lateral Associate to join a premier Corporate Finance Team in New York, NY. Finance Expertise and Practice

This position is with a globally recognized law firm, celebrated for its expertise in complex corporate finance and capital markets transactions. The team is known for:

• Private Credit Transactions: Structuring and executing private credit agreements for leading financial institutions and borrowers.
• Syndicated Debt Finance: Advising on syndicated loans, high-yield bonds, and leveraged finance transactions.
• Private Equity Acquisition Finance: Collaborating with private equity sponsors on acquisition financing, leveraged buyouts, and structured finance deals.
• Liability Management: Guiding clients through liability restructuring, debt refinancing, and special situations finance.
• Cross-Border Transactions: Navigating multi-jurisdictional finance deals while ensuring compliance with global regulations.

In this position, you will:

• Represent clients in private credit and syndicated debt finance transactions, with a focus on private equity acquisition finance and liability management.
• Draft and negotiate loan agreements, intercreditor agreements, and related financial documentation.
• Advise clients on risk mitigation, financial structuring, and regulatory compliance.
• Collaborate with a multidisciplinary team to deliver innovative legal solutions for complex financial matters.
• Build and nurture relationships with private equity sponsors, borrowers, and lenders.

Ideal Candidate Profile

We are looking for candidates who demonstrate the following qualifications and attributes:

Experience and Expertise

• Experience: Law school graduate from 2016 to 2021 with robust experience in private credit, syndicated debt finance, and special situations finance.
• Practice Areas: Experience with private equity acquisition finance and liability management is highly preferred.

Educational Credentials

• Juris Doctor (JD): Degree from a top-tier, accredited law school with strong academic performance.

• Legal Acumen: Proficiency in transactional drafting, financial structuring, and risk management.
• Strategic Thinking: Ability to design and implement innovative solutions for sophisticated financial transactions.
