We are seeking a talented Lateral Associate to join a premier Corporate Investment Funds team in New York, NY. This role offers the opportunity to engage in cutting-edge sponsor-side private equity fund formation matters while receiving mentorship from industry-leading practitioners.

Practice Expertise and Focus

This position is with a globally recognized law firm celebrated for its excellence in corporate and investment fund practices. The team specializes in:

• Private Equity Fund Formation: Structuring and forming private equity funds, including venture capital, growth equity, and buyout funds.
• Sponsor Representation: Advising private equity sponsors on regulatory compliance, fundraising strategies, and structuring issues.
• Cutting-Edge Transactions: Working on innovative fund structures and addressing unique legal and business challenges.
• Client Engagement: Providing strategic counsel to leading private equity firms and investment sponsors.
• Training and Mentorship: Collaborating with leading practitioners to develop expertise in private equity fund formation.

In this position, you will:

• Structure, form, and negotiate private equity funds, including drafting offering documents, partnership agreements, and related materials.
• Advise sponsors on fund marketing, regulatory compliance, and operational matters.
• Assist clients in navigating complex legal issues related to private equity investments.
• Collaborate with cross-functional teams to provide tailored legal solutions to clients.
• Engage directly with clients to understand their objectives and provide strategic guidance.

Ideal Candidate Profile

We are looking for candidates who demonstrate the following qualifications and attributes:

Experience and Expertise

• Experience: Law school graduate from 2018+, with robust experience in private equity fund formation or related investment fund practices.

Educational Credentials

• Juris Doctor (JD): Degree from a top-tier, accredited law school with excellent academic performance.
