The Role: Lateral Associate - Corporate - M&A | Palo Alto, CA

We are seeking driven and entrepreneurial M&A associates from law school class years 2020 to 2022 to join a dynamic M&A and general corporate team in Palo Alto, CA. This position offers the chance to work with leading clients in the technology industry on high-stakes transactions and innovative corporate matters.

• Advising clients on acquisitions, dispositions, minority investments, and similar transactions.
• Handling general corporate matters and providing counsel on emerging companies issues.
• Developing relationships with corporate clients through significant direct client interaction.
• Collaborating on strategic transactions that shape the future of the technology sector.

In this position, you will:

• Provide comprehensive legal advice on M&A transactions for corporate clients.
• Draft, review, and negotiate transactional agreements and other corporate documents.
• Conduct due diligence and risk assessments to identify potential challenges.
• Manage client relationships by understanding their business goals and delivering tailored legal solutions.
• Collaborate with multidisciplinary teams to drive successful outcomes for clients.

We are looking for candidates who demonstrate the following qualifications and attributes:

Experience and Expertise

• Experience: Law school graduate from 2020 to 2022 with meaningful experience in M&A transactions and a strong understanding of corporate law.
• Industry Knowledge: Expertise in advising technology industry clients is highly preferred.

Educational Credentials

• Juris Doctor (JD): Degree from a top-tier, accredited law school with strong academic performance.
• Bar Admission: Active membership in good standing or eligibility to waive into the California Bar.
