Practice Expertise and Focus

This opportunity is with a leading law firm recognized for its cutting-edge corporate governance and securities regulation practices. The firm provides strategic legal counsel to Fortune 500 companies, emerging growth enterprises, and global corporations.

• Exchange Act Compliance: Advising public companies on 10-K, 10-Q, and 8-K filings, as well as proxy disclosures.
• Corporate Governance: Counseling clients on board structures, shareholder engagement, and governance best practices.
• Innovative Solutions: Addressing evolving trends, including ESG disclosures, shareholder activism, and regulatory developments.

In this position, you will:

• Provide legal guidance on securities filings, governance structures, and compliance strategies.
• Advise public companies on SEC regulations and corporate reporting requirements.
• Develop innovative legal solutions for clients navigating complex corporate governance challenges.
• Draft, review, and analyze governance-related disclosures, regulatory filings, and shareholder materials.
• Collaborate with a team of skilled attorneys to deliver exceptional client outcomes.

Ideal Candidate Profile

We are looking for candidates who demonstrate the following qualifications and attributes:

Experience and Expertise

• Experience Level: Law school graduate from 2019 to 2021 with substantive experience in securities regulation and corporate governance.
• Subject Matter Expertise: Strong background advising public companies on SEC compliance, governance standards, and shareholder communications.

Educational Credentials

• Juris Doctor (JD): Degree from a top-tier, accredited law school with excellent academic performance.
• Bar Admission: Active membership in good standing or eligibility to waive into the New York Bar.

• Legal Acumen: Expertise in securities filings, compliance strategies, and governance structures.
• Analytical Skills: Ability to navigate complex legal and regulatory frameworks.
