We are seeking a highly skilled Securities Regulation & Corporate Governance Associate to join a premier team in Washington, D.C. This role provides an opportunity to work with high-profile public companies, delivering expert guidance on complex securities regulation and corporate governance matters.
Practice Expertise and Focus
This position is with a leading law firm renowned for its expertise in advising public companies on corporate governance standards and securities compliance. Highlights include:
Exchange Act Disclosure Compliance: Providing comprehensive guidance on 10-K, 10-Q, 8-K, and proxy statement reporting.
Governance Standards: Advising boards and management on best practices for corporate governance, shareholder engagement, and compliance with SEC regulations.
Innovative Solutions: Tackling emerging issues in corporate governance and securities regulation, including ESG reporting and shareholder activism.
In this position, you will:
Advise public companies on compliance with Exchange Act disclosure requirements and SEC regulations.
Provide strategic counsel on corporate governance standards, shareholder engagement, and board best practices.
Draft and review securities filings, proxy statements, and governance-related disclosures.
Research and analyze complex legal issues related to securities regulation and governance standards.
Collaborate with a dynamic team to support clients on high-profile corporate matters.
Ideal Candidate Profile
We are looking for candidates who demonstrate the following qualifications and attributes:
Experience and Expertise
Experience Level: Law school graduate from 2019 to 2021 with relevant experience in securities regulation and corporate governance.
Subject Matter Expertise: Strong background advising public companies on SEC compliance and corporate governance issues.
Educational Credentials
Juris Doctor (JD): Degree from a top-tier, accredited law school with excellent academic credentials.
Bar Admission: Active membership in good standing or eligibility to waive into the D.C. Bar.
Core Competencies
Legal Acumen: Expertise in securities filings, disclosure drafting, and governance strategy.
Analytical Skills: Ability to analyze complex legal issues and provide innovative solutions.
Communication Skills: Exceptional written and verbal communication skills to articulate complex legal concepts effectively.
Collaboration and Leadership: Proven ability to work in cross-functional teams and mentor junior associates.
Additional Attributes
Technical Expertise: Experience with ESG reporting, shareholder activism, and emerging trends in securities law is a plus.
Attention to Detail: Precision in managing intricate legal and regulatory challenges.
