## \nCompany:\n\nQualcomm Incorporated\n\n## Job Area:\n\nLegal Group, Legal Group \u003e Legal Counsel\n\nGeneral Summary:\n\nQualcomm is seeking an experienced attorney to join its in-house legal team in San Diego, focusing on supporting the Intellectual Property Department with legal diligence and transactional support for mergers and acquisitions (M\u0026A) and related projects. Qualcomm\u2019s in-house IP Standards and Diligence team works on a wide variety of projects, including advising corporate business teams on all corporate M\u0026A projects, supporting in-house and outside counsel with patent portfolio management, and supporting Qualcomm\u2019s licensing division, litigation teams, and other business units.\n\nThe ideal candidates will have a strong intellectual property background, familiarity with the patent lifecycle, and demonstrated experience supporting M\u0026A transactions. Additionally, strong communication skills, contract drafting and negotiation skills, and litigation experience are preferred. \n\nThis role is located in San Diego, CA and requires onsite work (5 days a week).\n\nMinimum Qualifications:\n\n\u2022 Juris Doctorate degree or international equivalent. \n\u2022 5+ years of relevant experience as counsel at a law firm or in-house. \n\u2022 Active bar license to practice law in the state or jurisdiction where the employee will be practicing (or ability to obtain upon hiring).\n\nSkills \u0026 Attributes:\n\n * Excellent multitasking and prioritization in a fast-past environment. \n * Demonstrated experience with intellectual property and technology-based commercial transactions.\n * Excellent communication and legal research skills.\n * Collaborative team player who works both independently and collaboratively. \n * Detail-oriented and proactive, with strong commercial judgment. \n\n\n\nGeneral Responsibilities:\n\n * Serve as subject matter expert and lead in-depth analysis of intellectual property portfolios, including investigations into patent legal ownership and bibliographic information.\n * Assist with drafting and negotiation of various agreements including asset purchase and assignment agreements in support of corporate M\u0026A functions. Review and analyze wide variety of diligence materials including complex licensing and other commercial agreements and seller disclosure schedules. \n * Act as a trusted legal advisor to business unit legal, licensing, tax, litigation, and operations teams. Deliver timely and actionable legal advice on a variety of intellectual property related issues, including internal policy compliance and corporate intellectual property governance matters.\n * Work closely with IP legal specialists, internal patent prosecution teams, and outside counsel on various responsibilities related to patent portfolio management and maintenance. \n * Assist with training and education of various stakeholders on intellectual property best practices, legal risks, and IP policy compliance. \n\n\n\nQualcomm is an equal opportunity employer.
