We are seeking experienced corporate development professionals to contribute to a high-quality library of in-house M&A and corporate development work products. You will complete realistic, self-contained transaction exercises using mock materials such as CIMs, diligence reports, term sheets, and board presentations, and produce professional deliverables evaluated against defined quality standards.
This opportunity is designed for professionals who have hands-on in-house transaction experience and understand how corporate development teams evaluate opportunities, structure deals, support senior leadership, and execute transactions from initial screening through closing and integration.
Requirements
Key Responsibilities
Build valuation and transaction models, including:
Three-statement models
DCF analysis
Trading and transaction comparables
Accretion/dilution analysis
Capitalization tables and equity waterfalls
Analyze, draft, and compare transaction terms, including IOIs, LOIs, term sheets, bid comparisons, deal structures, and consideration economics.
Develop process and executive-level materials such as management presentations, buyer universes, data packs, board presentations, committee materials, closing mechanics, and funds-flow documentation.
Conduct transaction screening and diligence activities, including inbound opportunity assessments, diligence request lists, findings synthesis, and investment recommendations.
Develop synergy models, carve-out analyses, integration considerations, and 100-day plans.
Evaluate strategic, financial, operational, and transaction risks and translate findings into clear recommendations.
Produce polished, decision-ready deliverables suitable for senior management and board-level review.
Ideal Qualifications
4+ years of professional experience in an in-house corporate development or M&A role within an operating company.
Demonstrated ownership of live transactions from initial screening and diligence through negotiation, execution, and closing.
Strong understanding of valuation, financial modeling, transaction structuring, and M&A processes.
Experience preparing materials and recommendations for senior executives, investment committees, or boards.
Strong ability to work independently with complex financial and transaction information.
Excellent written communication and analytical skills.
High attention to detail and ability to produce accurate, professional, decision-ready work.
Preferred Qualifications
Prior investment banking or private equity experience before transitioning to an in-house corporate development role.
Experience in Big 4 transaction advisory, financial due diligence, or related M&A services.
Experience with complex transactions, including carve-outs, strategic acquisitions, divestitures, or multi-party processes.
Familiarity with transaction modeling, diligence platforms, financial analysis tools, and corporate development workflows.
Important Role Focus
This opportunity is specifically intended for in-house corporate development professionals with direct transaction ownership. Candidates whose experience is exclusively in sell-side investment banking, consulting, or external advisory roles may not be the right fit.
Assessment
Selected candidates may be asked to complete exercises such as:
Build a merger model using a mock target-company file.
Compare alternative transaction term sheets.
Prepare a board-ready recommendation memo based on transaction materials.
