Department: Transaction Advisory Services (TAS) / Financial Due Diligence


Role Overview


We are seeking an analytical, detail-oriented Quality of Earnings (QoE) Senior Accountant to join our Transaction Advisory team. In this role, you will play a critical part in buy-side and sell-side financial due diligence for high-stakes mergers and acquisitions (M&A).


You will dive deep into historical financial data to evaluate target companies' underlying earnings quality, identify financial risks, analyze working capital trends, and present critical insights to private equity firms, strategic buyers, and executive stakeholders.


Key Responsibilities


1. Financial Due Diligence & Analysis




  • Quality of Earnings Execution: Perform buy-side and sell-side Quality of Earnings (QoE) analyses for target companies across various industries.




  • Earnings Sustainability: Evaluate revenue streams, gross margins, SG&A expenses, and customer concentration to determine earnings sustainability.




  • Accuracy Verification: Analyze balance sheets, cash flow statements, and proof of cash to ensure financial reporting accuracy.




2. EBITDA Adjustments & Normalization




  • Adjustment Identification: Identify and quantify management EBITDA adjustments, non-recurring expenses, out-of-period items, and owner discretionary costs.




  • Go-Forward Modeling: Develop run-rate and pro-forma earnings adjustments to reflect the go-forward operating state of the business.




3. Working Capital & Debt Analysis




  • NWC Modeling: Calculate net working capital (NWC) requirements and define peg targets for transaction agreements.




  • Purchase Price Impact: Analyze debt and debt-like items, unrecorded liabilities, and commitments that impact overall purchase price negotiations.




4. Reporting & Stakeholder Communication




  • Report Delivery: Draft clear, concise, and structured QoE reports and executive summaries detailing findings, financial risks, and value drivers.




  • Executive Presentations: Present findings directly to private equity investors, corporate deal teams, and target leadership.




  • Cross-Functional Collaboration: Collaborate with external legal teams, tax advisors, and investment bankers throughout the deal lifecycle.




Required Skills & Qualifications




  • Education & Certification: Bachelor’s or Master’s degree in Accounting, Finance, or a related field. Active CPA (Certified Public Accountant) license strongly preferred (or active progression toward CPA).




  • Professional Experience: 3–6 years of experience in public accounting (Audit/Assurance) or specialized M&A Transaction Advisory Services (TAS/FDD). Direct experience performing Quality of Earnings reports or M&A due diligence is highly preferred.




  • Technical Accounting Mastery: In-depth knowledge of US GAAP or IFRS, specifically complex areas such as ASC 606 (Revenue Recognition) and lease accounting.




  • Advanced Financial Modeling: Advanced Microsoft Excel capabilities (data normalization, pivot tables, complex formulas, and financial modeling). Proficiency with data tools such as Alteryx or Power BI is a major plus.




  • Operating Style & Acumen: Strong business acumen with the ability to look beyond the numbers and understand deal context. Exceptional written and verbal English communication skills for presenting complex findings clearly under tight deal deadlines.




Success Metrics (KPIs)




  • Report Delivery Velocity: Delivering thorough, accurate QoE reports within fast-paced transaction timelines.




  • Financial Risk Identification: Successfully surfacing hidden liabilities, non-recurring items, and working capital peg variances prior to deal execution.




  • Stakeholder Satisfaction: Maintaining high reporting clarity and trust across private equity clients, deal leads, and corporate stakeholders.
