About the Role The Senior Corporate Counsel for Technology Transactions at the company will play a pivotal role in supporting the organization's procurement and technology operations, both in the U.S. and globally. This position requires a proactive and dynamic individual to work within a lean legal team, delivering top-tier SaaS contracts and related advice for corporate and commercial client procurement. The successful candidate will be responsible for structuring, drafting, and negotiating a variety of technology-related agreements, including SaaS, cloud services, and professional services agreements. They will also be expected to analyze and mitigate contractual risks, provide expert counsel on deal structures, and ensure that contractual terms align with business objectives and data protection requirements. Collaboration with technology leadership, business lines, and procurement on strategic initiatives is essential, as is the ability to work autonomously and with limited legal supervision in a fast-paced environment.Applicants for this role should have a Juris Doctorate degree, be a member of the bar in good standing, and have at least 8 years of experience in technology transactions, with a preference for a background that includes both top law firm and in-house experience. The role demands expertise in SaaS and other technology contracts, particularly in the areas of privacy, data protection, indemnity, and liability. The ideal candidate will be a critical thinker, problem solver, and possess a "get to yes" attitude, with the ability to adapt to different situations and drive results. Strong communication skills, executive presence, and the ability to build relationships and work effectively across all levels of the organization are also crucial. The position requires a self-motivated individual with excellent organization and time management skills, capable of leading contract dispute management and staying abreast of emerging technologies and legal requirements in the SaaS and cloud space.
