Salary range: $82K - $120K

Location: Austin, TX

About this role

We are looking for a Senior Paralegal with 7+ years of experience to join our client's growing team and provide high-level paralegal support across all practice areas — from venture transactions and M&A to corporate governance and deal closings. This is a rare opportunity to work at a boutique firm that genuinely prioritizes your life outside of work, with a 1,450-hour billable target (2026), a performance-based bonus structure, and an annual firm-subsidized work-abroad program.

What will you be doing?

  • Supporting attorneys across all practice areas — including venture, M&A, corporate governance, and SEC/IP/trademark filings — without being siloed to a single attorney

  • Managing entity formations, SOS filings, IRS submissions (83(b), 8822-B, 2553), and EIN procurement across multiple states

  • Coordinating deal closings end-to-end: signature collection via DocuSign, investor tracking, cap table updates (Carta, Pulley), and closing binder distribution

  • Drafting and maintaining corporate governance documents including resolutions, equity awards, board minutes, and cap table management

  • Interacting confidently with attorneys at all levels — from managing partners to associates — and adapting your working style accordingly

Key Requirements

  • 7+ years of paralegal experience in corporate matters (no ceiling — candidates with people management experience are a strong plus)

  • Hands-on experience with cap table management platforms (Carta, Pulley, or similar)

  • Proven ability to work independently and manage multiple priorities without heavy oversight

  • Strong communication skills — comfortable interfacing with clients, partners, and attorneys at all levels

  • Experience with deal closing coordination, entity formations, and corporate governance document drafting

Role responsibilities

• Entity Formations & Maintenance

• Deal Closing Coordination

• Document Management

• Document Drafting & Corporate Governance
