The Position and Key Duties and Responsibilities                                                                                         

• Legal Advisory: Provide comprehensive legal advice and support to various departments within the organization, including operations, sales, HR, and marketing, ensuring compliance with applicable laws and regulations.
• Contracts Management: Draft, review, negotiate, and finalize a variety of commercial contracts, including vendor agreements, service contracts, partnership agreements, leases, and real estate transactions.
• Corporate Governance: Assist in corporate governance matters, including preparation and maintenance of corporate records, board minutes, resolutions, and compliance with corporate policies and procedures.
• Risk Management: Identify potential legal risks related to business operations, intellectual property, employee relations, and provide strategic solutions to mitigate such risks.
• Litigation Management: Oversee and manage litigation matters, including disputes related to contracts, employment, intellectual property, and real estate, working closely with external counsel when necessary.
• Regulatory Compliance: Ensure the company complies with all relevant laws and regulations, particularly those affecting business operations in different regions, including environmental regulations, employment laws, and industry-specific standards.
• Mergers and Acquisitions: Support M&A activities, including due diligence, transaction structuring, documentation, negotiation, and post-transaction integration.
• Cross-Functional Collaboration: Collaborate with various business units to provide legal guidance on strategic initiatives and projects, fostering a culture of compliance and risk awareness.
• Training and Development: Develop and conduct legal training programs for staff to promote awareness and understanding of legal compliance, risk management, and ethical practices.
• Policy Development: Assist in the development and implementation of corporate policies and procedures to ensure compliance with legal and regulatory requirements.
• Other duties and tasks, as assigned and needed.

Education                                                                                                                                       

• Education: Juris Doctor (JD) degree from an accredited law school.
• Bar Admission: Must be admitted to practice law in at least one U.S. jurisdiction, with the ability to obtain in-house counsel registration in Arizona if not already admitted in AZ.
• Experience: A minimum of 5 years of legal experience is required, with a significant portion gained from working at a reputable law firm. In-house counsel experience is a plus.

Qualifications: Experience, Knowledge, Skills & Abilities                                                                             

• Regional Expertise: Demonstrated experience handling legal matters in multiple regions; national experience is a plus, and California-specific experience is highly desirable.
• Business Acumen: Strong understanding of general business principles and the ability to provide practical and strategic legal advice.
• Communication Skills: Excellent written and verbal communication skills, with the ability to effectively communicate complex legal concepts to non-legal stakeholders.
• Analytical Skills: Strong analytical and problem-solving abilities, with a keen attention to detail.
• Interpersonal Skills: Ability to work collaboratively with cross-functional teams and build strong working relationships.
• Adaptability: Ability to thrive in a fast-paced, dynamic environment and manage multiple priorities simultaneously.
• Some travel may be required.

Physical Requirements/Working Conditions                                                                                                 

The physical requirements for the Counsel position include the ability to sit or stand for extended periods during meetings, court proceedings, or while working at a desk. The role requires general mobility to move within an office environment and navigate between various locations or departments. Manual dexterity is necessary for using a computer keyboard and mouse, as well as handling and organizing physical files and documents. Adequate vision is required to read and review documents in both hard copy and digital formats, and sufficient hearing is needed to participate in conversations, conference calls, and meetings. Effective verbal communication skills are crucial for presenting arguments, negotiating, and advising clients or colleagues, including the use of telecommunication devices such as telephones and video conferencing tools. The position demands cognitive and mental stamina to focus and concentrate for prolonged periods, analyze complex legal issues, synthesize information, and make informed decisions. Occasional travel to court hearings, client meetings, or conferences may be necessary, which could involve driving or using public transportation. The work environment is primarily an office setting with occasional travel to various locations, including courthouses, client offices, and conferences.
