Job Description - Senior Director Corporate Counsel

Senior Director- Corporate Counsel


This is a hybrid position based at our corporate office in Brentwood, TN, with on-site work required Monday through Wednesday.


JOB SUMMARY:


The Senior Director - Corporate Counsel (CC), reporting to the Company’s SVP and General Counsel, American Group, is responsible for analyzing, managing and advising on legal matters of the organization. The CC’s main responsibility is to provide legal support to the Company’s operations and development teams.


ESSENTIAL FUNCTIONS:



  1. Provide strategic and day-to-day legal advice to a national healthcare company consisting of ambulatory surgery centers, surgical hospitals and multi-specialty physician practices.

  2. Review, draft and negotiate contracts for ambulatory surgical centers, surgical hospitals, and physician practices, including, without limitation, operating agreements, business associate agreements, commercial leases, joint venture agreements, non- disclosure agreements, exclusive services agreements, affiliation agreements, employment and independent contractor agreements, professional services agreements, billing agreements, vendor agreements and management services agreements.

  3. Provide legal and regulatory advice in connection with development and marketing activities.

  4. Manage outside counsel in corporate, regulatory and litigation matters as needed.

  5. Work collaboratively with the Office of Compliance to structure corporate arrangements

  6. Evaluate legal issues and documents to determine the organization’s rights and responsibilities.

  7. Provide high quality legal advice to management and other internal sources on issues presented, including issues of corporate and health law.

  8. Perform legal research of all relevant sources of authority to prepare legal opinions.

  9. Assist in the development of communications methods to share legal knowledge throughout the company.

  10. Serve as a member of various Company work groups, committees and teams, as appropriate, where the strategic or legal advice and counsel of a lawyer are appropriate.

  11. Deliver strategic and tactical legal and consulting services to Company leadership and staff.

  12. Recommend opportunities or required changes to take advantage of new legal and regulatory developments and likely trends.

  13. Assist in management of the Company’s contract management system.

  14. Perform other duties as assigned.


QUALIFICATIONS:



  1. Juris Doctorate is required.

  2. Have passed the bar exam and maintain an active license to practice law in a jurisdiction in the United States.

  3. At least 3 years of legal experience gained through either a major law firm or in-house experience or a combination of both.

  4. Solid healthcare experience, including hospital/healthcare business operations and contracting; hospital/physician contracting; business transactions, including joint ventures, mergers/acquisitions and financing; and healthcare regulatory and legal compliance with a solid understanding of major federal laws, applicable state laws and related regulations that govern the provision of for-profit healthcare.

  5. Executive leadership and ability to see and handle more than the “legal” issues of a project; strong pragmatic business acumen with the ability to recognize the business consequences of legal advice; a strategic and innovative thinker who can develop and articulate a clear understanding of the organization’s strategy from all perspectives and find creative solutions to complex legal problems.

  6. Experience with compliance-related issues and demonstrated ability to effectively communicate and enforce compliance and legal policies and procedures. Experience with regulations impacting the provision of healthcare services and hospital operations.

  7. Proven track record of strong negotiation, communication, organizational and people management skills and the ability to influence and build relationships without direct authority.

  8. Skill in exercising a high degree of initiative, judgment, discretion, problem solving and decision making.

  9. Excellent written and verbal communication skills.

  10. Skill in developing and maintaining effective relationships with management, staff, physicians and banking personnel.

  11. Skill in developing effective divisional policies and procedures.

  12. Ability to travel less than 10% of the time.


EDUCATION/REQUIREMENTS:  Bachelor’s degree (B.A.) or equivalent; or minimum 3 years related experience and/or training; or equivalent combination of education and experience.
