Job Description - Senior Manager, SEC Reporting and SOX

Denali Therapeutics is seeking a highly motivated and detail-oriented SEC Reporting and SOX Senior Manager to play a key role within the Corporate Finance organization. This individual will report to the Director of SEC Reporting and Technical Accounting and will contribute across both external reporting and the Company’s SOX compliance program.
This is a high-visibility individual contributor role with primary responsibility for leading the execution and ongoing enhancement of the Company’s SOX business process control program, along with significant involvement in SEC reporting. The role partners cross-functionally across Finance, IT, Legal, IR, HR, and Commercial, and regularly interfaces with external auditors and finance leadership.
The ideal candidate brings strong technical expertise, sound judgment, and a hands-on approach, with the ability to balance detailed execution and process improvement in a dynamic, highly regulated environment. This position follows a hybrid work model.

Key Accountabilities/Core Job Responsibilities:

SEC Reporting and Disclosure

  • Lead the preparation, review, and filing of Forms 10-K, 10-Q, 8-K, and other SEC filings, ensuring accurate, timely, and compliant deliverables in accordance with U.S. GAAP and SEC requirements.

  • Partner with the Director of SEC Reporting and Technical Accounting to support and enhance the Company’s disclosure approach, including drafting new and updated disclosures, incorporating peer benchmarking, and improving clarity and consistency.

  • Manage the quarterly and annual reporting process, including timeline coordination, cross-functional information gathering, and execution of structured review procedures.

  • Serve as a key point of contact for external auditors on SEC reporting matters, coordinating PBC requests, supporting issue resolution, and maintaining alignment throughout the reporting cycle

SOX Program Execution and Improvement

  • Lead the execution of the Company’s SOX 404 business process control program, including risk assessment updates, control scoping, documentation, and ongoing program coordination.

  • Act as the primary liaison with internal and external auditors for SOX, coordinating walkthroughs, supporting testing activities, and driving timely closure of audit requests and open items.

  • Identify, recommend, and implement improvements to the control environment, including enhancements to control design, documentation quality, and opportunities for automation and scalability.

  • Provide subject matter expertise on internal controls, advising control owners and cross-functional partners on control design, risk mitigation, and process improvements; implement enhancements to individual control activities in alignment with Finance leadership.

Cross-Functional Collaboration and Process Enhancement

  • Support cross-functional initiatives that improve financial reporting integrity and operational efficiency, collaborating with stakeholders across Finance, IT, Legal, and Commercial.

  • Contribute to the evolution of finance processes and infrastructure by identifying opportunities to improve reporting workflows and support scalability as the Company grows.

Qualifications/Skills:

  • Bachelor’s degree in Accounting or Finance; CPA required.
  • 10+ years of relevant experience, including a combination of Big 4 public accounting and industry experience preferred.
  • Strong knowledge of U.S. GAAP, SEC reporting requirements, and SOX 404 compliance.
  • Experience leading or heavily supporting SOX programs or major SOX workstreams, including coordination with external auditors.
  • Experience supporting Forms 10-K and 10-Q preparation in a publicly traded company environment.
  • Experience with SAP and Workiva strongly preferred.
  • Demonstrated ability to operate with a high degree of ownership while collaborating closely with leadership and cross-functional stakeholders.
  • Strong project management skills with the ability to manage multiple priorities and deadlines in a fast-paced environment.
  • Excellent written and verbal communication skills with strong attention to detail.
  • Proven ability to balance hands-on execution with identifying and implementing process improvements.
  • Life sciences or biotechnology industry experience is a plus.

Salary Range: $151,000.00 to $196,000.00 .  Compensation for the role will depend on a number of factors, including a candidate’s qualifications, skills, competencies, and experience.
