Job Description - Senior Paralegal

We are seeking an experienced Paralegal with strong subject‑matter expertise in corporate entity management to support the Office of the Corporate Secretary. This role partners closely with Legal, Tax, Treasury, and business stakeholders to maintain governance hygiene across a large, multi‑jurisdictional portfolio, draft and circulate corporate actions, maintain official records, and ensure compliance with policies and local law. The ideal candidate is a hands‑on problem solver with impeccable attention to detail, excellent drafting skills, and comfort working at scale.

As a Senior Paralegal you will:

• Act as assistant secretary support for assigned entities; draft, route, and track written consents, appointment letters, director/officer (D&O) changes, share issuances/changes, and policy/delegation resolutions.
• Maintain complete and accurate corporate records and minute books (indices, minutes, share ledgers) and coordinate copies with internal stakeholders and outside counsel as needed.
• Prepare and issue certifications of corporate facts (e.g., incumbency, banking, authority to execute, name/ownership changes).
• Draft, renew, and revoke powers of attorney; manage signature logistics and maintain auditable records.
• Triage and respond to corporate information requests (e.g., signing authority, capacity/objects questions, entity and individual data for transactions).
• Coordinate entity life‑cycle events and filings (formations, dissolutions, reorganizations, registrations/deregistrations), partnering with the Law Department for jurisdictional and branch transactions.
• Provide governance oversight support for in‑house entities and regional secretaries, including endorsement routing, identification of required reviewers, and evidence retention for audit readiness.
• Monitor and process routine D&O changes (e.g., via personnel announcements) and maintain alignment across records and systems.
• Support cross‑functional initiatives such as controls/DOAG requirements, KYC with Treasury, and Data Privacy obligations.
• Own day‑to‑day administration and data quality in the entity management system (e.g., Diligent Entities / Blueprint OneWorld): maintain edit access, perform QC and annual control checks, and produce reports (POA, D&O, ownership, quarterly/annual).
• Coordinate jurisdictional annual economic substance filings in partnership with Law and Tax.
• Maintain governance content on internal sites (e.g., SharePoint), including example resolutions, delegation letters, contacts, and guidance.
• Drive operational rigor: organize matters, track status, and proactively follow up on reviews, signatories, and outstanding information.



Requirements

Our skills and experience wishlist includes:

• 5–8+ years of corporate paralegal experience with heavy emphasis on entity management and corporate secretary work in a large enterprise or AmLaw/corporate environment.
• Deep working knowledge of U.S. (e.g., Delaware) entities and comfort coordinating with offshore jurisdictions (e.g., Bahamas, Cayman Islands, Bermuda).
• Proven experience drafting corporate actions (consents, resolutions, certifications), maintaining minute books, managing POAs, and supporting D&O changes.
• Familiarity with entity life‑cycle events and related filings (formations, reorganizations, registrations/deregistrations, dissolutions).
• Strong command of governance controls and documentation standards; audit‑ready approach to recordkeeping and evidence retention.
• Exceptional writing and redlining skills; ability to convert business direction into clean, precise legal documentation.
• High ownership, organizational excellence, and the ability to manage a large portfolio with competing priorities and tight timelines.
• Discretion and professionalism when handling confidential information; strong stakeholder management across Legal, Tax, Treasury, and business teams.
