A premier global law firm is seeking a Technology Companies Corporate Associate Attorney to join its New York office.

This opportunity is ideal for an attorney interested in representing emerging growth companies, venture-backed startups, unicorns, and technology companies throughout every stage of their business lifecycle, from formation through exit.

Ideal Background

• 3–5 years of corporate transactional experience gained at a sophisticated law firm

• Experience representing technology companies, emerging growth companies, venture-backed startups, founders, venture capital funds, and growth equity investors

• Experience handling early-stage and late-stage venture capital financings, growth equity investments, mergers and acquisitions, private financings, and public offerings

• Experience drafting and negotiating stock purchase agreements, investment documents, stockholder agreements, corporate governance documents, acquisition agreements, and other transactional documents

• Experience advising clients on entity formation, corporate governance, capitalization, equity incentive plans, financing strategy, and general corporate matters

• Experience managing legal due diligence, transaction closings, and post-closing matters while coordinating with multidisciplinary deal teams

• Ability to independently manage substantial portions of sophisticated transactions while maintaining significant client interaction

• Strong drafting, negotiation, analytical, organizational, and communication skills

• Excellent academic credentials

• J.D. from an ABA-accredited law school required

• New York bar admission required or ability to become admitted
