Job Description - Corporate Counsel, International

WHY JOIN ALO?

Mindful movement. It’s at the core of why we do what we do at ALO—it’s our calling. Because mindful movement in the studio leads to better living. It changes who yogis are off the mat, making their lives and their communities better. That’s the real meaning of studio-to-street: taking the consciousness from practice on the mat and putting it into practice in life.

OVERVIEW:

Alo is seeking a midlevel corporate attorney to support our international expansion efforts. The scope of this role is broad: to handle corporate matters related to the company’s international operations including, but not limited to, formation of entities, corporate governance, local law compliance and the commercial contracting needs of the international entities (with limited support from local counsel). This role reports into the Senior Counsel, International and will work closely with the international business team. This position is a great opportunity for an individual interested in working on a broad array of legal issues in a fast-paced, growing company.

The position is a hybrid remote/in-office role.

THE POSITION WILL:

  • International Entity Planning and Formation: Collaborate with relevant business teams to determine local requirements for new jurisdictions, assist with entity formation and liaise with local counsel as required.

  • Corporate Governance: Ensure compliance with local regulatory and filing requirements and prepare all corporate consents and resolutions for foreign entities.

  • Contract Drafting and Negotiation: Draft, negotiate and see through execution a wide variety of commercial contracts including independent contractor agreements, vendor and supplier contracts related to international operations. Work closely with legal support staff to ensure all contracts are properly executed and stored.

  • Finance and Banking: Work closely with the company’s finance team to assist with KYC and other local banking requirements.

  • Policy Development: Work with internal business teams to develop, implement and review company policies and procedures to ensure they align with legal requirements and industry standards in foreign jurisdictions.

  • Collaboration: Work closely with internal stakeholders, including procurement, finance, creative, marketing and other business units, to address contract-related issues and provide strategic advice.

  • Other: Enthusiastically pitch in on other Legal department projects and tasks. Continually develop new expertise as the business grows and proactively tackle new subject matters as needed.

THE RIGHT CANDIDATE WILL HAVE:

  • J.D. from a top tier law school and strong academic credentials

  • Admission to the California bar preferred

  • Five or more years transactional experience in big law and in-house with MNCs

  • Prior experience supporting international expansion and operations

  • Experience with retail and e-commerce is a plus

  • Exceptional organizational skills, attention to detail and a strong work ethic

  • Outstanding analytical and communication skills, both written and verbal

  • Self-starter with ability to balance many projects simultaneously and complete tasks accurately, on schedule and with minimal supervision

  • Must be able to accommodate tight deadlines

  • Sensitivity to and practical knowledge of working with individuals from a variety of backgrounds and ability to explain legal requirements and concerns in layman’s terms

  • Willingness to take initiative

  • Ability to work flexible hours

The company’s total rewards package includes 401K, competitive medical, dental and vision plans, discount on the company’s products as well as an onsite gym, daily yoga classes and other office amenities.

The base pay range for this position is $175,000-225,000, which represents the current range for the exempt position. Please note that actual compensation will vary based on factors including but not limited to location, experience and performance. Please also note the range listed is just one component of the company’s total rewards package for exempt employees. Other rewards may include performance bonuses, long term incentives, a PTO policy, and many other progressive benefits.
