Job SummaryThe job holder provides management with effective advice on company day to day implementation. The legal counsel is directly involved in complex business transactions in negotiating critical contract of Sales and MKTJob Responsibilities1. Legal key contact point for MKT and Sales for all matters including contracts: giving advice or making the decision for the issues based on analysis and good judgment to ensure the smooth and responsive business operations via legal regulation compliance of requirements from internal and external parties. • Joining in deep dialogue/negotiation with internal/external business partners for solving the issues or special projects; • Conducting legal research/instruct legal admin to carry out first research; developing initial advice and providing the legal advice or make the decision to Sales/MKT; • Creating and communicating a clear and compelling to multiple departments; • Looking ahead and anticipate changes inside and outside the company; • Keeping abreast of legislative changes including working with/managing external law firm in case of looking for external advice; • Anticipating and mitigating potential legal issues and propose initiatives to avoid costly litigation actions and reduce potential area of risks • Continuously looking for opportunities to improve quality and efficiency 2. Sales/MKT materials management Legal Counsel takes lead in executing all daily routine works, conducting legal research and proposing solution as well as execution. Within the frame of this accountability, Legal Counsel also takes charge of ensuring the approval of contracts aligned with legal regulations & internal policy (ABC term, contracting guidelines; etc.) and anticipating, making decision/giving advice for ad-hoc cases related to materials (without new claim) and/or contracts following standardized templates with value up to VND1 billion. For the contracts having higher value with new concept, conducting the preliminary review and escalate it to Legal Manager or Legal Director for the final approval, coming back with business if there is any question/concern, follow up to get the review done. i. Contract drafting, evaluating and negotiating ii. Materials reviewing and approving: iii. Reviewing and approving MKT materials • Review and approve all MKT materials (without new claim) • Working closely with MKT brand team and Regulatory Compliance team to ensure MKT materials are in line with legal regulations. 3. Lead in promotion review & management: managing promotion programs review and submission not only at stage of notifications and submission but at the early stages to ensure the legal regulations compliance and supporting VAT leakage prevention, including working with Sales/MKT team, Planning team and Tax team as well as government. i. Promotion review and advice: • Reviewing all promotion programs • Guiding and manage 1st review result of Legal Admin • Attending meeting on promotion proposal at early stages and giving advice on the scheme raised by MKT/Sales teams ii. Promotion checklist and guidelines: • Creating promotion checklist and guidelines; • Aligning with line manager and have approval for the final guidelines; • Facilitating and conducting training to related departments for the implementation Contract simplification and standardization: planning and executing all works related to contract management to improve the efficiency and effectiveness of contract review, contractual risk management, contract standardization and simplification for those contracts of Sales/MKT teams Skills and Experience- Law graduate (master of law), lawyer certificate required - Demonstrate good drafting and negotiation skills both in English and Vietnamese - Give clear and trusted advice to other departments as required. - Strong influencing skills, result oriented, change management. - Independence, strong communication - Work well under high pressure on both timeline and workload - Good at working in team and individually - Good attitude at customer service oriented. - Strong influencing skills, result oriented, change management. - Independence, strong communication and interview skill, including the ability to ask the “tough” questions.
