Job Description - Associate Counsel

Role Overview:

To provide sound commercial legal advice in respect of the TP ICAP group’s business activities and initiatives across all of its business divisions and support functions in Asia Pacific region. TP ICAP’s fast moving environment means that there is heavy emphasis on execution requiring all TP ICAP lawyers to be adaptable and develop a sound understanding of the business and its needs.

Role Responsibilities:

• Review, negotiate and advise customer documentation including terms of business, brokerage agreements, electronic platform agreements and other forms of customer contracts.

• Review, negotiate and advise commercial contracts including leases, services agreements, employment agreements, vendor/procurement agreements, confidentiality agreements, market data agreements, licensing agreements, and introducing broker and co-broking agreements.

• Assist on any transactions with third parties such as acquisitions, divestments and joint ventures.

• Review and advise employment-related documentation including for new hires, renewals, employee departures etc.

• Assist with company secretarial and corporate governance matters including director changes, board/shareholder resolutions, annual returns, AGMs, etc.

• Work closely with colleagues in the business and support functions in all divisions of TP ICAP in contract negotiation, projects and problem solving work.

• Brief and work with external counsel as necessary.

• Ensure effective cross-regional support, coverage and coordination from the Legal Department, and assisting overseas based in-house lawyers with queries.

• Escalate matters through functional and operational reporting lines, and through local and global senior management, as and when appropriate.

• Fulfill any additional/ad hoc duties as required to meet the needs of the business.

• Strong personal organisational skills.

• Excellent written and oral communication skills.

• Attention to detail, taking personal responsibility for achieving quality standards.

• Ability to multitask, handle short-notice demands and tight deadlines.

• Common sense and practical, with an ability to prioritise conflicting demands on time.
• Self-motivated and responsible attitude to work, problems encountered and their resolution.

• Develop and maintain rapport with the business and colleagues both within work related and in informal or social circumstances in a flexible and adaptable manner.

• Set goals and targets for self, which improve upon previous performance and constantly strives to exceed existing quality and service standards.

Professional skills and experience:

• Law degree from Commonwealth jurisdiction.

• 2 – 3 years of Post Qualified Experience within corporate commercial/financial services/broking industry.

• Strong personal organisational skills, team player who is organised, mature, possesses excellent communication skills.

• Ability to ascertain legal issues with respect to TP ICAP’s businesses and to advise often on an impromptu and ad hoc basis.
