Role: Board Secretary- Chip Company
Salary- Annual 1.5-2 million RMB + Stock Options
I. Job Overview
The company is a leading domestic RISC-V high-performance processor chip enterprise, with a core team from top international semiconductor companies and renowned research institutions. Currently, it has completed key product R&D and entered the industrialization stage, and plans to advance the capital market listing process within the next 2-3 years.
We sincerely invite a senior board secretary with full experience in the A-share IPO process to join the company as a core person in charge of the capital market, coordinating listing preparation, corporate governance, investor relations, and capital operations, and deeply participating in the company's future development and value creation.
Reporting to: CEO, Board of Directors
Work Location: Shenzhen (Can communicate with Hong Kong)
II. Job Responsibilities
1. IPO Preparation and Capital Operations: Lead the overall progress of the company's A- share IPO project; Develop listing pathways, timelines, and key milestone management plans; Coordinate with intermediaries such as securities firms, law firms, and accounting firms; Organize, review, and communicate with regulators regarding listing application materials; Promote the construction of the company's governance structure, internal control system, and standardized operations.
2. Board of Directors and Corporate Governance: Responsible for the operation of the board of directors, shareholders' meetings, and special committees; Improve the listed company's governance system and information disclosure mechanism; Ensure the company complies with regulatory and capital market requirements; Organize the implementation of relevant board resolutions and major matters.
3.Investor Relations Management (IR): Establish and maintain capital market resources such as investment institutions, securities firms, law firms, and accounting firms;Responsible for investor communication and capital market brand building; Organize financing, roadshows, and investor exchange activities; Assist in managing the company's capital market image and valuation system.
4. Strategic and Capital Support : Participate in the company's strategic planning and major capital decisions; Support financing, mergers and acquisitions, and equity incentive projects; Provide management with capital market-related advice and support.
Hard Requirements: Bachelor's degree from a good university; Master's degree preferred; Major in finance, accounting, law, economics, or related fields; Overseas study abroad experience from renowned universities preferred.
Certifications Hold a Board Secretary qualification certificate; Certified Public Accountant (CPA) 1. Legal Professional Qualification Certificate or Sponsor Representative Qualification
Core Experience Requirements
IPO Experience (Core Hard Qualification) Must possess: Experience in the entire A-share IPO process; Deep involvement in the entire listing process; Familiarity with the regulatory requirements of the China Securities Regulatory Commission (CSRC) and stock exchanges; Ability to independently drive the listing project to completion.
Bonus Points: Simultaneous experience in Hong Kong IPOs; Participation in listing projects on the Science and Technology Innovation Board (STAR Market) or the ChiNext Board;
Experience in listing semiconductor, technology, or hard technology companies.
Company Secretary Work Experience
Experience as a company secretary in a listed or soon-to-be-listed company;
Familiarity with corporate governance, information disclosure, and capital operations; Mature investor relations management experience.
IV. Preferred Profile Industry Background
Preferred candidates will come from: Semiconductor and integrated circuit companies; AI and computing power industry chain companies. Technology innovation-driven enterprises; Companies listed on the Science and Technology Innovation Board (STAR Market).
Professional Background Focus on the following talent types:
Board Secretaries Successfully led A-share IPO projects; Possess abundant capital market resources; Familiar with the standardized operations of listed companies.
Category 2: Investment Banking to Industry Possess dual backgrounds in investment banking and corporate affairs; Previously worked in the investment banking department of a securities firm; Later transferred to a company to be responsible for capital market work;
Possess both professional skills and industry understanding.
Category 3: Capital Market Composite Talent Has cross-industry experience in companies, investment banks, and securities firms; Possess comprehensive abilities in financing, listing, and investor relations; Able to drive corporate value enhancement from a capital market perspective.

Capital Market Capabilities - A-share IPO project management ability; Investor Relations (IR) ability; Financing and capital operation capabilities; Information disclosure and regulatory communication capabilities.
Resource Integration Capabilities
Possesses abundant resources: Securities firm resources; Investment institution resources; Accounting firm resources; Law firm resources; Capital market professional service institution resources.
Personal Characteristics The company highly values cultural fit: Pragmatic and low-key;
Strong execution; Hands-on style; No obvious sense of professional superiority; Able to integrate into an engineering-culture team; Possesses entrepreneurial spirit and long-term thinking.
VI. Team and Corporate Culture Team Characteristics
Founding team with strong technical backgrounds; Strong engineering culture; R&D team size 100+; Over 50% of core members have overseas experience.
Company Development Stage High-performance RISC-V chip R&D company; Product completed. Key R&D Stage; Currently in the accelerated phase of industrialization and commercialization; Plans to list on the capital market within the next 2-3 years.
VII. Compensation and Long-Term Incentives Compensation Structure
Total Cash Package: Approximately RMB 1.5 million (target range)
Exceptionally outstanding candidates may negotiate up to RMB 2 million
Compensation Components: 12 months fixed salary 6 months target bonus Long-Term Incentives
Core Stock Option Incentive Plan; Deep involvement in sharing the company's growth value; Opportunity to receive capital appreciation gains after listing.
VIII. Interview Process
First Round: CEO Interview
Second Round: Vice Chairman/Core Investor (Former CTO of a Top International Chip Company)
Interview Final Decision: Joint evaluation and decision by the CEO and Board of Directors.
