Overview

We are seeking an experienced and detail-oriented Senior Corporate Secretarial Executive to join our Corporate Services team. The successful candidate will manage a portfolio of Singapore-incorporated companies and ensure compliance with statutory and regulatory requirements under the Singapore Companies Act and relevant regulations. The role requires strong technical knowledge, excellent client management skills, and the ability to work independently in a fast-paced corporate services environment.

Key Responsibilities

Corporate Secretarial Services

  • Manage a portfolio of local clients across various industries.

  • Incorporate Singapore companies, register foreign entities, and handle business structure changes.

  • Ensure maintenance of statutory records, registers, and corporate documentation.

  • Review directors’ and shareholders’ resolutions, minutes of meetings, and other corporate documents.

  • Arrange and coordinate Annual General Meetings (AGMs), Extraordinary General Meetings (EGMs), and board meetings.

  • Prepare and lodge statutory filings with the relevant authorities within prescribed deadlines.

  • Ensure compliance with the Singapore Companies Act, Constitution requirements, and corporate governance practices.

Regulatory Compliance

  • Monitor clients’ statutory compliance obligations and filing deadlines.

  • Advise clients on routine corporate secretarial and governance matters.

  • Maintain accurate and up-to-date records in corporate secretarial software and internal systems.

  • Assist with compliance reviews, KYC/CDD requirements, and client onboarding processes.

  • Liaise with regulatory authorities, auditors, tax agents, banks, and legal advisors as required.

Client Relationship Management

  • Serve as the primary contact for assigned clients on corporate secretarial matters.

  • Provide timely and professional responses to client queries.

  • Build and maintain strong client relationships while ensuring high service standards.

  • Identify opportunities for additional corporate services and support business development initiatives where appropriate.

Team Support and Leadership

  • Review work prepared by junior team members and provide guidance where necessary.

  • Assist in training and mentoring junior Corporate Secretarial Executives.

  • Support process improvement initiatives and implementation of best practices within the department.

  • Participate in special projects and assignments as required by management.

Requirements

Education and Professional Qualifications

  • Diploma, Degree, or equivalent qualification in Business, Law, Corporate Administration, or a related field.

  • Professional qualifications such as ICSA/CGI, SAICSA, or equivalent will be advantageous.

Experience

  • Minimum 4–6 years of relevant corporate secretarial experience, preferably within a Corporate Services Provider, professional services firm, accounting firm, or law firm.

  • Proven experience managing an independent portfolio of Singapore entities.

  • Strong knowledge of the Singapore Companies Act and corporate governance requirements.

  • Experience with ACRA filings and corporate secretarial software.

Skills and Competencies

  • Strong understanding of Singapore corporate secretarial practices and regulatory requirements.

  • Excellent written and verbal communication skills.

  • Strong organizational and time management abilities.

  • High attention to detail and accuracy.

  • Ability to work independently and manage multiple deadlines.
