We are seeking a proactive and commercially minded Legal Counsel to support the Company's legal and compliance functions in Singapore and provide legal support for its Malaysia subsidiary in collaboration with appointed external legal counsel.
The successful candidate will serve as a trusted legal advisor to management and business functions, providing practical and risk-balanced legal guidance across commercial transactions, corporate governance, compliance, employment matters, dispute management, and business operations.
Key Responsibilities
1. Legal & Compliance Management
Support the development, implementation, and continuous improvement of the Company's legal and compliance framework.
Ensure compliance with applicable laws, regulations, and internal corporate governance policies in Singapore and Malaysia.
Monitor legal and regulatory developments and provide timely updates and recommendations to management and relevant stakeholders.
Support internal compliance initiatives and promote legal awareness across the organization.
2. Contract Management & Legal Documentation
Draft, review, negotiate, and manage a wide range of commercial agreements and legal documents in both English and Mandarin.
Provide legal support for procurement, sales, service agreements, employment matters, technology-related transactions, leasing arrangements, and other business activities.
Review and advise on internal policies, procedures, and corporate governance documentation.
Maintain and improve contract management processes and legal documentation standards.
3. Corporate & Commercial Legal Support
Provide legal advice and support on corporate governance, business operations, strategic projects, investments, and commercial collaborations.
Support cross-border business activities involving Singapore, Malaysia, and other regional entities.
Work closely with business stakeholders to facilitate commercial objectives while managing legal and compliance risks.
Assist with corporate secretarial and regulatory compliance matters where required.
Manage and coordinate litigation, arbitration, employment disputes, investigations, and other legal proceedings through appointed external legal counsel.
Support dispute resolution strategies, settlement negotiations, and risk mitigation measures.
Participate in the selection, management, and performance evaluation of external legal service providers.
Monitor legal expenditure and ensure effective utilization of external legal resources.
5. Legal Risk Management
Identify, assess, and mitigate legal and compliance risks arising from business operations and commercial activities.
Develop practical legal solutions and preventive measures to safeguard the Company's interests.
Support compliance with employment, commercial, corporate, and data protection regulations.
6. Legal Advisory & Training
Provide timely, practical, and business-oriented legal advice to management and various departments.
Conduct legal and compliance training programmes for employees and management teams.
Promote a culture of compliance, ethics, and good corporate governance across the organization.
7. Other Duties
Undertake additional legal assignments and projects as directed by local management and the Group Legal Department.
Support legal matters relating to the Company's subsidiaries and affiliated entities as required.
Requirements
Education & Professional Qualifications
Bachelor of Laws (LL.B.) or equivalent legal qualification.
Qualified to practise law in Singapore or another recognised common law jurisdiction.
Minimum 3–8 years of relevant post-qualification experience gained in a reputable law firm and/or in-house legal environment.
Experience in corporate, commercial, compliance, employment, and dispute resolution matters will be advantageous.
Professional Knowledge
Strong understanding of:
Corporate and commercial law
Contract drafting and negotiation
Employment law
Corporate governance and regulatory compliance
Dispute resolution and litigation management
Personal Data Protection Act (PDPA) and related compliance requirements
Exposure to Malaysia legal matters or regional legal support experience will be an advantage.
Skills & Competencies
Excellent written and verbal communication skills in English.
Proficiency in Mandarin is required as the role involves reviewing legal documents and communicating with Mandarin-speaking headquarters personnel, stakeholders, business partners, and external parties.
Strong legal drafting, negotiation, analytical, and problem-solving skills.
Ability to provide practical and commercially sound legal advice.
Strong interpersonal and stakeholder management skills, with the ability to work effectively across functions and cultures.
Self-motivated, detail-oriented, and capable of managing multiple priorities independently in a fast-paced environment.
