Job Description - SENIOR LEGAL COUNSEL

Key Responsibilities

Legal Advisory

  • Provide timely and practical legal advice to management and business units on commercial, operational, regulatory, and corporate matters.
  • Advise on legal risks associated with certification, testing, inspection, auditing, and assurance services.
  • Support strategic business initiatives, mergers, acquisitions, joint ventures, and partnerships.
  • Available to provide timely legal and strategic support to senior management, including after-office hours when required, to address urgent business matters and critical inquiries.

Commercial Contracts

  • Draft, review, negotiate, and manage a wide range of commercial agreements, including:
  • Certification and inspection service agreements
  • Customer contracts
  • Supplier and vendor agreements
  • Distribution and partnership agreements
  • Non-disclosure agreements (NDAs)
  • Consultancy and professional services agreements
  • Develop and maintain contract templates and legal policies.

Regulatory Compliance & Accreditation

  • Advise on compliance with local and international laws, regulations, and accreditation requirements.
  • Monitor legal and regulatory developments affecting certification and conformity assessment activities.
  • Support accreditation audits and regulatory inspections.
  • Develop compliance frameworks and internal controls.

Corporate Governance

  • Provide support on corporate governance matters and board-related activities.
  • Draft board resolutions, corporate documents, and governance policies.
  • Ensure compliance with corporate regulatory requirements across multiple jurisdictions.

Risk Management

  • Identify, assess, and mitigate legal and regulatory risks.
  • Manage legal disputes, complaints, investigations, and litigation matters.
  • Coordinate with external counsel and regulatory authorities when required.
  • Support insurance and liability management matters.

Intellectual Property & Data Protection

  • Advise on intellectual property protection, licensing, trademarks, copyrights, and technology agreements.
  • Ensure compliance with data privacy and data protection regulations.
  • Support cybersecurity and information governance initiatives.

Employment & HR Support

  • Provide legal support on employment-related matters, including:
  • Employment contracts
  • Workplace investigations
  • Employee disciplinary matters
  • Terminations and restructuring exercises
  • Advise on labor law compliance and HR policies.

Training & Policy Development

  • Develop and deliver legal and compliance training programs.
  • Draft and update company policies, procedures, and codes of conduct.
  • Promote legal awareness and compliance culture throughout the organization.

Requirements

Education

  • Bachelor's Degree in Law (LLB) or equivalent.
  • Qualified lawyer admitted to practice in a recognized jurisdiction.
  • Master's degree or professional certification will be an advantage.

Experience

  • Minimum 10–15 years of post-qualification legal experience.
  • Experience in certification, testing, inspection, assurance, compliance, quality systems, manufacturing, engineering, healthcare, life sciences, or related industries is highly preferred.
  • Experience supporting regional or multinational operations.
  • In-house legal counsel experience preferred.

Knowledge & Skills

  • Strong knowledge of commercial law, corporate law, regulatory compliance, and contract management.
  • Familiarity with certification and conformity assessment frameworks, accreditation standards, and regulatory environments.
  • Excellent contract drafting and negotiation skills.
  • Strong analytical, problem-solving, and risk management capabilities.
  • Ability to work independently and manage multiple priorities.
  • Excellent stakeholder management and communication skills.

Preferred Experience

  • Experience with ISO standards and accreditation frameworks.
  • Exposure to product certification, management system certification, testing laboratories, inspection bodies, or professional assurance services.
  • Experience handling cross-border legal matters and international contracts.
  • Knowledge of intellectual property and data privacy regulations.
