Job Description - Assistant General Counsel

Job Summary

Participates on Associate General Counsel or Deputy General Counsel's leadership team and provides legal support for a business division or legal practice area.

What You Will Do

  • Advising senior management and providing clear recommendations on legal matters.
  • Managing legal support of a business division or significant legal practice area through upervision of a team, or coordination of a network of attorneys, or serving as a subject matter expert.
  • Implementing legal strategies and goals in line with company's business objectives; researching complex legal issues and reviewing and drafting complex legal documents.

What You Have

Risk Management: Knowledge of processes, tools and techniques for assessing and controlling an organization's exposure to risks of various kinds; ability to apply knowledge of risk management appropriately to diverse situations.

Level Extensive Experience:

  • Debates the pros and cons of various risk management models.
  • Implements function-wide risk management processes and tools.
  • Designs cross-functional risk management processes, tools, and audit mechanisms.
  • Measures key benefits and drawbacks for specific risk management practices.
  • Relates risk assessment models and analysis tools and processes to own business.
  • Establishes key business-specific risk management benchmarks.

Decision Making and Critical Thinking: Knowledge of the decision-making process and associated tools and techniques; ability to accurately analyze situations and reach productive decisions based on informed judgment.

Level Extensive Experience:

  • Differentiates assumptions, perspectives, and historical frameworks.
  • Evaluates past decisions for insights to improve decision-making process.
  • Assesses and validates decision options and points and predicts their potential impact.
  • Advises others in analyzing and synthesizing relevant data and assessing alternatives.
  • Uses effective decision-making approaches such as consultative, command, or consensus.
  • Ensures that assumptions and received wisdom are objectively analyzed in decisions.

Influencing: Knowledge of effective influencing tactics and strategies; ability to impact decisions within and outside own organization.

Level Extensive Experience:

  • Achieves influence and impact even when holding a position contrary to the majority.
  • Discards examples of persuasive argument slacking substance or impact.
  • Leads and presents collaborative assessments that persuasively influence decision makers.
  • Advises on techniques to build rapport and commitment to common purpose.
  • Determines and leverages the decision-making style of the individual or group being influenced.
  • Delivers well-received presentations of cost, benefits, risks, and other considerations.

Negotiating: Knowledge of successful negotiation concepts and techniques; ability to negotiate successfully across the organization and with external vendors and clients in a constructive and collaborative manner.

  • Ensures negotiators have awareness of complementary yet diverse interests.
  • Successfully completes significant negotiations, both internal and external.
  • Details the risks of negotiation break down from each party's perspective.
  • Protects own position, while demonstrating willingness to achieve win-win.
  • Identifies similarities and differences in position and assesses impact on discussions.
  • Detects and addresses lack of progressor a stalemate.

Organizational Leadership: Knowledge of leadership concepts and ability to use strategies and skills to enlist others in setting, embracing and achieving objectives.

Level Working Knowledge:

  • Utilizes positive reinforcement to motivate& attain desired behaviors; increases productivity.
  • Demonstrates leadership qualities: intelligence, dominance, persistence, integrity, confidence.
  • Manages own behaviors during interactions, such as feedback giving, to shape workplace events.
  • Utilizes an appropriate style of leadership: autocratic, democratic, laissez-faire/free rein, etc.
  • Employs leadership theories, such as contingency and transactional, and associated techniques.

Resource Management: Knowledge of the resources required to achieve business objectives; ability to plan, mobilize and distribute resources to fulfill business objectives and plans.

Level Working Knowledge:

  • Calculates resource usage to set a baseline for comparison.
  • Specifies the critical resources required to accomplish the team's objectives.
  • Surfaces opportunities to improve resource utilization.
  • Initiates requests for required resources.
  • Allocates team resources responsibly and equitably.

Legal Analysis: Knowledge of methods and tools used in legal analysis; ability to read, interpret and draw accurate conclusions from both legal and factual information.

Level Extensive Experience:

  • Anticipates and monitors the potential impact of legal decisions within the industry.
  • Evaluates legal analysis issues from the perspective of regulatory compliance.
  • Develops standard processes to maximize the efficiency and effectiveness of legal analysis.
  • Guides the work of others through a legal lens.
  • Coaches on the adoption of advanced technologies and tools for legal analysis.
  • Conducts and documents analyses of a variety of legal issues.

Legal Function: Knowledge of the major responsibilities, accountabilities, and organization of the legal function or department; ability to provide legal consulting, advice and assistance.

Level Extensive Experience:

  • Manages a legal unit or department.
  • Contributes to the establishment of best practices for legal services.
  • Contributes to the development of legal strategies and plans.
  • Evaluates the effectiveness of organizational standards and procedures for the legal unit or department.
  • Coaches others on advanced technologies or tools for the legal unit or department.
  • Analyzes the use of technology in current and planned legal activities.
