In-House Counsel

About the Role

A Singapore-based company is seeking an in-house lawyer to manage the company's legal, governance and transaction functions, and to provide related support toother companies within the group.

Key Responsibilities

Contracts & Transactions

•     Prepare and review contracts

•     Coordinate acquisitions, disposals and financing transactions

•     Support the preparation of intercompany agreements

Governance & Board Support

•     Support board and shareholder processes

•     Maintain the company's governance framework

•     Maintain the delegated authority framework, board calendar, and records of significant decisions - helping demonstrate that proposals are properly considered by the Singapore company rather than merely approved after decisions have been made elsewhere

Risk & Compliance

•     Assist with sanctions, anti-bribery, counterparty and transaction risk reviews

External Coordination

•     Coordinate external legal advisers across relevant jurisdictions

Scope of Services

Legal and governance services would be provided internally to the Singapore company and other members of the group. The Singapore company would not offer services to external clients.

Candidate Requirements

•     Law degree; qualified lawyer(Singapore-qualified or equivalent common law jurisdiction)

•     Experience in corporate/commercial law, ideally in-house or within an international group structure

•     Experience with M&A, financing transactions and corporate governance matters

•     Familiarity with sanctions, anti-bribery/corruption and counterparty risk frameworks

•     Fluent English (working language)

•     Strong organisational skills, attention to detail, and ability to manage multiple jurisdictions and stakeholders
