Corporate Governance Manager

Responsible for liaison with two Japanese shareholding companies of the joint venture organization, which includes presenting request for shareholders’ executive/board approval and preparing daily/weekly/monthly reporting to shareholders’ various organizational functions,

Dealing with existing/potential clients for new project opportunities,

Dealing with new business development utilizing decarbonization and/or low-emission technology to be applied to future FPSO projects

Contract negotiation such as price, delivery schedule, scope of work, payment conditions, performance guarantee, defect liability, securities, insurances, change order risk allocation, and other contract conditions with client, vendors and subcontractors in collaboration with internal disciplines including project, engineering, procurement, construction and operation team,

Contractual review of proposals from vendors and subcontractors, such as competitiveness, price, delivery schedule, scope of work, payment conditions, risk allocation, securities, insurances, change order and other contract conditions

Setting up internal operation and control procedures of commercial, legal, accounting and administration,

Contract management including contract party control, change order control, contract document version control,

Cash flow planning including arrangement of financial resources for new projects,

Tax planning for project execution in foreign countries in collaboration with finance department including reviewing tax perspective of contract conditions with client, vendor and subcontractors,

Coordination in the joint venture organization and with client for finding solutions of commercial settlement with client for payment, change order, claims, dispute and other contractual matters to be raised by the parties,

Coordination in the joint venture organization for finding solutions of commercial settlement between the joint venture and its member companies, or between member companies, for payment, claims, dispute and other contractual matters to be raised by the parties, and Various organizational arrangements for smooth and cooperative joint operation in the joint venture organization.
